Terms of Service
These are the terms between you and Caminu Pte. Ltd. ("Caminu", "we", "us"). They cover what we promise you, what you promise us, and what happens if something goes wrong. We've kept the language as plain as we can; where it has to be precise, we've added a short summary at the top of each section.
The agreement
In plain English
Using Caminu means agreeing to these terms. If you don't agree, don't use the service.
By creating an account, accessing, or using Caminu (the "Service") you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Together they form the agreement between you and Caminu (the "Agreement"). If you're using Caminu on behalf of a company or organisation, you confirm that you have authority to bind that organisation to this Agreement, and "you" includes both you personally and that organisation.
Who can use Caminu

You need to be 18 or older (or the age of majority where you live) and not on a sanctions list.
To use Caminu you must be at least 18 years old (or the age of legal majority where you live, whichever is greater), have the legal capacity to enter into this Agreement, and not be a person barred from using the Service under the laws of Singapore or any other applicable jurisdiction (including sanctions lists maintained by the United Nations, the United States, the European Union, or the United Kingdom).
Caminu is offered globally. You are responsible for ensuring your use of the Service complies with the laws that apply to you in your location and to the people you act for.
Your account
In plain English
Keep your login credentials safe. You're responsible for what happens under your account.
You'll create an account to use Caminu. You agree to provide accurate information when signing up, to keep your password and access credentials confidential, and to notify us promptly at security@caminu.com if you believe your account has been accessed without your permission.
You are responsible for all activity that happens under your account, including actions taken by coworkers you have configured. We are not liable for losses caused by your failure to safeguard your credentials.
What Caminu does

Caminu lets you build software 'coworkers' that act across third-party apps you connect, based on the briefs and triggers you provide.
Caminu is a platform that helps you create, configure, schedule, and monitor software-based coworkers (each a "Coworker") that perform operational tasks on your behalf across services you choose to connect (each a "Connected Service" — e.g. Gmail, Stripe, Notion, WhatsApp). Coworkers are powered by large-language-model providers and by integrations operated by us or our subprocessors.
We may add, change, or remove features of the Service over time. We aim to give reasonable notice for material changes that meaningfully reduce the functionality you rely on.
Your content & data

What you put in stays yours. We get a narrow licence to handle it so we can run the Service for you.
You retain all rights, title, and interest in the data, prompts, briefs, messages, files, and other materials you submit to Caminu (your "Content") and in the outputs Caminu generates for you (your "Outputs"), to the extent legally permitted.
You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and otherwise use your Content and Outputs solely as needed to provide, secure, and improve the Service for you — including by transmitting them to the subprocessors listed in our Privacy Policy. This licence ends when you delete the data, except where we are required to retain it for legal, regulatory, security, or audit reasons.
We do not use your Content or Outputs to train foundation models owned by Caminu or by any third party for the benefit of other customers.
AI outputs

AI can be wrong. Don't rely on Caminu's outputs for high-stakes decisions without a human in the loop.
Coworkers use AI models that produce probabilistic outputs. Those outputs can be inaccurate, incomplete, biased, or otherwise unsuited to a particular purpose. We do not warrant that any output is correct, current, or fit for any particular purpose. You should not rely on Caminu for legal, medical, financial, safety-critical, or other high-stakes decisions without independent verification.
Where outputs reference or appear to attribute statements to real people, organisations, or sources, you should verify those references before publishing or acting on them.
Acceptable use

No illegal stuff, no abuse, no spam, no reverse-engineering, no breaking the Service or other people's stuff.
You agree not to use Caminu to, and not to authorise a coworker to:
- Break any applicable law or any third-party right (including intellectual property, privacy, publicity, and contractual rights);
- Send unsolicited bulk communications (spam) or otherwise breach anti-spam, telemarketing, or e-marketing laws;
- Impersonate any person or misrepresent your affiliation with any person or entity;
- Generate, distribute, or store content that is defamatory, harassing, hateful, sexually exploitative of minors, or that depicts non-consensual intimate imagery;
- Develop or deploy weapons, surveillance tooling targeted at individuals without their consent, or systems intended to evade sanctions or law enforcement;
- Reverse-engineer, decompile, scrape at scale, or circumvent any technical limit of the Service;
- Interfere with the security, integrity, or performance of the Service or the services Caminu integrates with;
- Resell, sublicense, or white-label Caminu without our written agreement.
We may suspend or terminate accounts that breach this section, with or without notice depending on the severity and the harm risked.
Subscriptions & billing

Paid plans renew automatically until you cancel. Prices are shown at checkout. We may change prices with at least 30 days' notice for an existing plan.
Caminu may offer free and paid plans. Paid plans are billed in advance on a recurring basis (monthly or annually as selected at checkout) and renew automatically until cancelled. Prices, included usage, and overage charges are shown at the point of purchase and in your billing settings.
Some features charge based on actual usage of underlying AI, integration, or compute resources. We aim to surface meaningful usage in the app before it is incurred and provide controls (e.g. spend caps) where practical.
We may change pricing, free-plan limits, or paid-plan inclusions on at least 30 days' notice for material changes affecting an existing plan, by posting the change in-app or by email. Continuing to use the Service after the change takes effect means you accept the new terms. Taxes (including GST, VAT, sales tax) are your responsibility unless we are legally required to collect them, in which case they will be added to your invoice.
Payments are processed by third-party payment processors (currently Stripe). By providing payment information, you authorise us and our processors to charge the applicable fees.
Refunds & cancellation

Cancel any time in your settings. Generally no refunds for partial periods, except where law requires it.
You may cancel a paid plan at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then. Unless required by applicable law, we do not provide pro-rated refunds for unused time on a cancelled subscription.
If you believe you have been charged in error, contact us at billing@caminu.com within 30 days of the charge and we will review in good faith.
Where you are an EU/EEA consumer and have a statutory right of withdrawal, you may withdraw within 14 days of your initial paid subscription. By starting to use a paid feature before the withdrawal period ends, you expressly request immediate performance and acknowledge that the right of withdrawal ends once we have fully performed.
Service availability

We try hard to keep Caminu running, but we don't guarantee uninterrupted service. Some downtime happens.
We work to provide a reliable Service but do not guarantee that it will be available without interruption, error-free, or secure against every threat. We may suspend or limit access for maintenance, security incidents, suspected abuse, or matters outside our reasonable control (e.g. third-party API outages, networking incidents, force majeure).
Where we publish a service status page, that page reflects our best current view but is not a contractual commitment.
Intellectual property

We own Caminu. You own your content. Each of us licences the other only what's needed.
Caminu, its software, brand, designs, documentation, and underlying infrastructure are owned by Caminu Pte. Ltd. or its licensors and are protected by intellectual property laws. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal purposes.
You may not use Caminu's name, logo, or other brand assets without our prior written consent, except to identify yourself as a Caminu customer.
If you submit ideas, feedback, or suggestions about the Service to us, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation to you.
Disclaimers

Caminu is provided "as is". To the extent the law allows, we disclaim implied warranties.
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Caminu disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
Nothing in this section limits or excludes any warranty or liability that cannot be limited or excluded under applicable law (e.g. Singapore's Consumer Protection (Fair Trading) Act, certain consumer-rights regimes in the EU/UK).
Limitation of liability

If we mess up, our total liability to you is capped — usually at what you paid us in the prior 12 months. We don't cover indirect losses (lost profits, lost data) except where the law makes us.
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, or loss of business or goodwill, even if advised of the possibility.
To the maximum extent permitted by law, our aggregate liability to you arising out of or relating to this Agreement (whether in contract, tort, statute, or otherwise) will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred Singapore dollars (S$100).
Nothing in this section limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under applicable law.
Indemnification

If your use of Caminu (or your coworker's actions) gets us sued, you'll cover our reasonable costs of defending it — except where it's our fault.
You will indemnify, defend, and hold harmless Caminu, its officers, employees, and agents from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from (a) your Content; (b) actions taken by a coworker you configured; (c) your breach of this Agreement or applicable law; or (d) your violation of any third-party right.
This obligation does not apply to the extent a claim arises from Caminu's own breach of this Agreement, gross negligence, or wilful misconduct.
Termination

Either side can end the Agreement. If we end it because of a serious breach, we may suspend your account immediately.
You may stop using Caminu and close your account at any time. We may suspend or terminate your access (in whole or in part), with or without notice, if we reasonably believe you have breached this Agreement, if we are required to do so by law, or if continuing to provide the Service to you would expose us to material legal, security, or operational risk.
On termination, your right to use the Service ends immediately. We will, where reasonably practicable and lawful, give you 30 days to export your Content before deleting it. Sections that by their nature should survive (including Sections 5, 7, 12, 14, 15, 18, 19, 20) will survive termination.
Changes to these terms

We may update these terms. We'll tell you about material changes; continuing to use Caminu means you accept them.
We may revise these Terms from time to time. If we make a material change, we will give you reasonable notice (at least 30 days for changes that meaningfully reduce your rights or that affect a paid plan) by posting in-app or by email. Non-material changes (e.g. clarifying language, restructuring) take effect when posted. The "last updated" date at the top of this page indicates the most recent revision.
If you don't agree to a change, your remedy is to stop using the Service before the change takes effect and cancel any paid subscription.
Governing law & disputes

Singapore law governs. Disputes go to the Singapore courts (with SIAC arbitration as an option for business users).
This Agreement is governed by the laws of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to any mandatory consumer rights you have where you live, any dispute arising out of or in connection with this Agreement (including any question regarding its existence, validity, or termination) shall be referred to and finally resolved by the courts of Singapore, which shall have exclusive jurisdiction. For customers using Caminu in a business capacity, we may, at our option, refer disputes to arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules then in force; the seat shall be Singapore and the language shall be English.
Nothing in this section limits any non-waivable rights you have as a consumer under the laws of your country of residence.
Miscellaneous

The boring but useful stuff: severability, assignment, full agreement.
Entire agreement. This Agreement (these Terms plus the Privacy Policy and any plan-specific terms presented at checkout) is the entire agreement between you and Caminu about the Service and supersedes any prior agreements on the same subject.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
No waiver. Failure to enforce any right is not a waiver of that right.
Assignment. You may not assign this Agreement without our written consent. We may assign it (in whole or in part) in connection with a corporate transaction such as a merger, acquisition, or sale of assets.
No agency. Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship.
Notices. We may send you notices by email to the address on your account or by in-app message. You may send us notices to legal@caminu.com.
